The atmosphere inside the Vanguard-Vance executive boardroom was electric with tension. The massive mahogany table overlooked the stunning, sprawling skyline of Manhattan. Julian sat at the head of the table, perfectly composed in a sharp charcoal suit, projecting an aura of total, unshakeable control. Elena sat to his right, representing the Foundation's massive shareholder block.

To Julian's left, occupying a guest chair reserved for major proxy holders, sat Alexander Sterling. He wore a smug, arrogant smile, flanked by two aggressive corporate litigators. He had managed to secure a temporary proxy seat through a complex web of distressed debt leveraging.

"Let's dispense with the formalities," Alexander announced loudly, completely ignoring the parliamentary rules of the meeting. "Vanguard-Vance is bleeding capital due to Mr. Vance’s misguided, overly regulated ethical policies. The stock is vulnerable. My syndicate is officially submitting a hostile bid for fifty-one percent of the voting shares, effective immediately."

The board members murmured nervously. Julian did not blink. He simply steepled his fingers, staring at Alexander with the detached curiosity of a scientist observing a rat in a maze.

"To execute a hostile takeover of that magnitude, Mr. Sterling," Julian said smoothly, "you would require an immediate, verifiable liquid capital transfer of four billion dollars to escrow."

"The funds are secure," Alexander sneered, tapping his phone. "I have secured the necessary backing from our offshore partners. The transfer is authorizing as we speak."

"I motion for a vote of no confidence against Julian Vance," one of the board members, heavily bribed by Victoria, called out nervously. "We need to accept the Sterling bid."

Julian looked directly at Thomas, who was sitting at the far end of the table, sweating profusely.

"Thomas," Julian said, his voice calm and commanding. "As the senior compliance officer, what is your stance on the Sterling bid?"

Alexander glared at Thomas, expecting the older man to fold under the pressure of the bribes and the threats. But Thomas looked at Elena, remembering the fierce, protective mother who had stood in his greenhouse, and he found his courage.

"I have reviewed the bid," Thomas said, his voice strengthening as he spoke. "And I find it to be entirely fraudulent. I vote to reject the bid and retain Julian Vance as CEO."

Alexander’s arrogant smile vanished instantly, replaced by a mask of absolute, furious shock.
